01Scope
These General Terms and Conditions apply to contracts between Nusrat Jahan, trading under the business name “Aurora Automation”, and business customers within the meaning of Section 14 of the German Civil Code (BGB).
They apply in particular to services relating to AI automation, workflow automation, system integration, process optimisation and digital consulting.
Contracts with consumers are concluded only on the basis of separate agreements.
02Scope of Services
The specific scope of services is defined in the applicable proposal, project agreement or agreed statement of work.
Aurora Automation develops and implements customised automation and digital process solutions.
Services not expressly included in the agreed project scope are not part of the engagement.
03Formation of Contract
Information and presentations on our website do not generally constitute a binding contractual offer.
A contract may be concluded through:
- acceptance of a written or electronic proposal,
- signature of a project agreement, or
- another clear written or electronic agreement between the parties.
04Customer Cooperation
The customer must provide all information, access credentials, data, contact persons and approvals required for the project in a timely manner.
Delays caused by missing or late customer cooperation may result in corresponding changes to agreed project deadlines.
05Prices and Payment
The prices agreed in the applicable proposal or contract apply.
Where Aurora Automation applies the German small business VAT exemption pursuant to Section 19 UStG, VAT will not be separately charged or shown.
Invoices must be paid within the payment period stated on the relevant invoice.
If no payment period is specified, payment is due within 14 days from the invoice date.
06Changes and Additional Services
Changes or additions to the originally agreed project scope may result in additional costs.
Additional services will be agreed with the customer before they are performed.
Changes to the project scope may affect agreed deadlines and delivery dates.
07Third-Party Services, Software and External Systems
Automation projects may use services, APIs, software products or platforms provided by third parties.
The respective terms of those third-party providers also apply to their services.
Chargeable third-party services or licences will only be additionally charged to the customer where this has been agreed.
Aurora Automation has no control over the continued availability, functionality, pricing or modification of third-party services.
Aurora Automation is not responsible for outages or changes to third-party services that are outside its reasonable control.
08AI and Automation Systems
AI and automation systems may depend on factors including data quality, technical interfaces and third-party services.
Unless expressly agreed otherwise, uninterrupted or completely error-free operation cannot be guaranteed.
Automated or AI-generated results should be appropriately reviewed by the customer before being used for business, legal or financial decisions.
The customer remains responsible for its final business decisions.
09Project Dates and Delays
Project deadlines are binding where they have expressly been agreed as binding.
Project deadlines may be reasonably extended where delays result from missing customer cooperation, force majeure or technical circumstances outside Aurora Automation’s reasonable control.
10Usage Rights and Intellectual Property
After full payment, the customer receives the usage rights agreed in the relevant contract for project-specific deliverables created for the customer.
Methods, concepts, templates, frameworks, automation components, libraries, workflows and know-how that existed before the project or were developed for general use remain with Aurora Automation unless expressly agreed otherwise.
Rights relating to software, platforms and other third-party services are governed by the respective third-party provider’s terms.
11Confidentiality and Data Protection
Both parties shall keep confidential information received from the other party confidential and use such information only for the purpose of carrying out the relevant project.
Where Aurora Automation processes personal data on behalf of the customer and the relevant legal requirements apply, the parties will enter into a Data Processing Agreement pursuant to Article 28 GDPR.
12Defects
Statutory rights relating to defects apply unless otherwise validly agreed in the relevant project agreement.
The customer should report identifiable problems or errors as soon as reasonably possible and provide sufficient information to enable the issue to be investigated and, where appropriate, corrected.
13Liability
Aurora Automation has unlimited liability for damage caused intentionally or through gross negligence and for injury to life, body or health.
In the event of a slightly negligent breach of an essential contractual obligation, liability is limited to the type of loss that was reasonably foreseeable at the time the contract was concluded.
Mandatory statutory liability provisions remain unaffected.
14Contract Term and Termination
The contract term, project duration and ordinary termination periods are determined by the applicable proposal or contract.
The right of either party to terminate the contract for good cause remains unaffected.
15Governing Law and Jurisdiction
The laws of the Federal Republic of Germany apply.
To the extent permitted by law, Hannover shall be the place of jurisdiction where the customer is a merchant, a legal entity under public law, a special fund under public law, or has no general place of jurisdiction in Germany.
16Final Provisions
Individual agreements contained in the applicable proposal or project contract take precedence over these General Terms and Conditions.
If any provision of these Terms and Conditions is or becomes invalid, the validity of the remaining provisions shall remain unaffected.
In the event of any discrepancy between the German and English versions, the German version shall prevail.
